3. Client Responsibilities:

To ensure successful cooperation, Client agrees to: - Provide accurate and complete information necessary for us to deliver our services. - Respond in a timely manner to communications, approvals, or requests for information- and approve any materials we present as part of the services in a timely manner. Comply with all laws and regulations related to their industry and the services we provide.

4. Payment Terms:

The Client agrees to pay for services as outlined in the proposal or invoice. Payment terms include: Payment amounts will be in proposal, including any initial deposit and subsequent payments. Payment Methods: Payments may made credit card,PayPal, bank transfer, or as otherwise specified. - Due: Payments are due within 30 days of issuance, unless otherwise agreed upon. Late Fees: payments not received by the due date may incur a late fee of 15% per month on the outstanding balance.

5. Intellectual Property Rights

Upon full payment, the Client will receive ownership of all completed content and materials produced specifically for the Client. However, the agency retains the right to showcase the work in its portfolio and for marketing purposes. The Client agrees to grant us a non-exclusive, royalty license to use any pre-existing materials to for the purpose of providing services.

6. Confidentiality

Both parties agree to keep confidential any information, business practices,, and other sensitive information obtained during engagement This obligation continues beyond the termination of this agreement.

7. Termination Clause

Either party may terminate this agreement with written notice of 30 days if there is a substantial breach of these Terms. termination is for payment for all services rendered up to the date of termination. intellectual property created prior to will be delivered to the Client upon full payment.

8 Limitation of Liability

ECommProMedia shall not be liable for any indirect, incidental, special, or consequential damages arising out of the use or to use our services. Our total for any claim arising from this agreement shall not exceed the total amount paid by the Client for the services in question.

9. Governing Law

These Terms shall be governed in accordance with the laws of North Carolina. Any disputes arising from these Terms will be subject to the jurisdiction of the courts located North Carolina.

10. Amendments

We reserve the right to modify these Terms at any time. Any amendments will be to the Client's email or through our website. Continued use of our services following any changes constitutes the new.
